This Agreement is between you (Buyer) and WAF (Seller), and this Agreement is binding on you by placing an order with us via phone, email or through our website.
Prices:
The agreed upon prices on the invoice(s) are fixed and non-negotiable, buyer must pay for all items delivered except discount is given or during special sales which will be communicated in advance.
Prices and delivery date referenced in the quotations are for information only and shall not be binding until the Buyer’s order has been accepted.
Payments:
Each shipment shall be a separate transaction and the Buyer will be invoiced on delivery. All amounts due shall be paid in full by the Buyer without deduction, withholding, set-off or counterclaim for any reason whatsoever.
Where WAF has extended credit to Buyer, terms of payment shall be net thirty (30) days from date of invoice.
Payment shall be made for the goods without regard to whether Buyer has made or may make any inspection of the goods.
If shipments are delayed by Buyer, payments are due from the date when Seller is prepared to make shipments, goods held for Buyer are at Buyer’s risk and expense.
In the event of any default by Buyer, Seller may invoke any remedy provided by law or by the terms herein stated, and may decline to make further shipments.
In the event Seller resorts to a third party or to litigation in order to collect amounts due to Seller, Buyer agrees to pay costs of collection for amount owed to Seller, including, but not limited to, attorney’s fees, court costs, and interest in the amount of 1% per month (12% per annum), from the date the amount is due.
Shipment and Delivery:
Distributor shall deliver or arrange for delivery of edibles to the Buyer’s premises or other delivery point agreed between the parties. Any dates quoted by the Supplier for delivery of edibles are exact. Distributor will not make a second delivery without charges if buyer was missed during the first delivery.
Seller shall not be liable for any delay in delivery or for non-delivery, in whole or in part, caused by the occurrence of any contingency beyond the control of the Seller, including, but not limited to failure or delay in transportation, act of God or insurrection.
Any notice or instruction from the Buyer received subsequent to Seller’s acknowledgment, including supplementary information contained in a confirming purchase order, which has the effect of changing quantity of ordered goods, delivery location and receiver or other terms, will be effective only upon an appropriate adjustment in the price and/or delivery date, and acceptance of any change by Seller in writing.
Any variation in quantities shipped over or under the quantities ordered shall constitute compliance with Buyer’s order and the stated unit price will continue to apply.
Acceptance shall be presumed conclusively to have occurred 1 day (24 hours) following delivery of product to Buyer, unless Buyer has accepted the product prior.
Products: Buyer may not modify the product in ways that will affect the product.
Returns:
The Buyer shall carefully inspect the Goods on delivery and having verified that the quantities are correct and sign the delivery note accordingly. Any claims of loss or damage will only be entertained before the delivery note is signed.
If you received damaged or incorrect goods, pictures (videos) showing this should be forwarded to the company email or reach out to the Seller’s contact person.
Returned goods should not be unpacked and should be returned in original packaging and in relatively good order and condition as shown in the earlier provided images. Also, returned goods should be accompanied with invoice.
Complaints: In the event of a complaint, the buyer must contact the seller within 48 hours of receipt of edibles and the distributor will fully respond to all reasonable complaints. Any complaint made outside the 48 hours window will not be entertained.
Replacement: This is liable to happen if and only if the supplied goods was not tightly sealed and noticed upon delivery by the buyer. Again, once the delivery note is signed, a complain that will result to a replacement will not be entertained.
